    Thank you for your interest in partnering with Pawprint Oxygen. These terms explain how the program works, how you earn commissions, what we ask of you when you receive product, and the rules that keep our content accurate for the pet owners who rely on it. Please read them carefully before you enroll.

    1. Agreement and Acceptance

    1.1 These Affiliate Program Terms and Conditions (the “Agreement”) are between Aeronics, Inc., a Delaware corporation doing business as Pawprint Oxygen (“Aeronics,” “we,” “us,” or “our”), and the individual or entity that applies to and is accepted into the Pawprint Oxygen Affiliate Program (“Affiliate” or “you”).

    1.2 You accept this Agreement by checking the acceptance box and submitting the enrollment form, or by signing this Agreement electronically. If you enroll on behalf of an organization, you confirm that you are authorized to bind it.

    1.3 The Program Schedule, the Privacy Policy at pawprintoxygen.com/privacy-policy, any Seeding Confirmation or Refund Offer, and any brand guidelines we provide are part of this Agreement. If they conflict, this Agreement controls, except that the Program Schedule controls on the items it is designated to set.

    2. Definitions

    • “Affiliate Link” means a unique tracking link we issue to you.

    • “Affiliate Code” means a unique discount or referral code we issue to you.

    • “Attribution Window” means the period after a click on your Affiliate Link during which a resulting purchase may be credited to you, as set in the Program Schedule.

    • “Commission” means the amount payable to you on a Qualifying Sale at the rate in the Program Schedule.

    • “Hold Period” means the period after an order is placed during which a Commission is pending and not yet earned, as set in the Program Schedule.

    • “Products” means products sold by Aeronics under the Pawprint Oxygen brand, including Pawprint Oxygen Kits, the PureVent Pet Oxygen Mask, the PureVent Pet Oxygen Chamber, and HemoSEAL Veterinary Hemostatic Spray.

    • “Program Schedule” means the commission rates, Hold Period, Attribution Window, minimum payout, payout schedule, posting requirements, and other program settings we publish in your affiliate dashboard or in a separate written schedule, as updated under this Agreement.

    • “Qualifying Sale” means a completed purchase of Products on a Pawprint Oxygen site that the Tracking Platform attributes to you and that meets Sections 5 and 6.

    • “Recruited Affiliate” means an affiliate who enrolls through your recruitment link and is credited to you by the Tracking Platform.

    • “Refundable Purchase” means Products you buy at retail price under a Refund Offer (Section 13.5).

    • “Seeded Product” means Products we send to you at no charge for content creation.

    • “Tracking Platform” means the affiliate tracking platform Aeronics designates from time to time.

    3. Eligibility and Enrollment

    3.1 Who may join. The program is open to individuals who are at least 18 years old and reside in the United States, and to entities organized in the United States, unless the Program Schedule designates additional countries.

    3.2 Application. You must submit accurate information, including your legal name, contact details, the social media accounts and websites you will use (“Channels”), and tax information. You must keep this information current.

    3.3 Acceptance. We may accept or decline any application in our sole discretion. We decide which affiliates receive Seeded Product or a Refund Offer (Section 13).

    3.4 Rescues and non-profits. Registered 501(c)(3) animal rescues and other non-profits approved by us may receive Products as donations (“Donated Product”) under Section 13.11.

    3.5 Veterinary professionals. If you are a licensed veterinarian or veterinary technician, you are responsible for meeting any professional or licensing-board rules on disclosing financial relationships with product companies.

    4. Commissions

    4.1 Rates. You earn a Commission on each Qualifying Sale at the rate in the Program Schedule in effect when the order is placed. Commissions are calculated on the net product price paid, excluding taxes, shipping, gift cards, discounts, and any amount later refunded or credited.

    4.2 Changes. We may change commission rates, commission structures, and second-tier rates at any time, for all affiliates or for an individual affiliate. We will give at least 15 days’ notice by email or in your dashboard. Changes apply only to orders placed on or after the effective date stated in the notice. If you do not accept a change, your only remedy is to end this Agreement under Section 16.

    4.3 Promotions. We may offer temporary bonus rates or incentives. Their terms will be stated when offered and end on the stated date without further notice.

    5. Hold Period, Cancellations, and Refunds

    5.1 When Commissions are earned. A Commission is pending, and is not earned, until the Hold Period for that order has passed. We set the Hold Period in the Program Schedule and may change it under Section 4.2.

    5.2 Reversed orders. No Commission is earned on any order that is cancelled, refunded in whole or part, returned, or charged back during the Hold Period. A partial refund reduces the Commission proportionally.

    5.3 Clawback. If we pay a Commission on an order that is later found to be reversed during the Hold Period, fraudulent, or otherwise not a Qualifying Sale, we may deduct that amount from future payouts or require you to repay it within 30 days of notice.

    6. Attribution and Tracking

    6.1 Tracking Platform decides. A sale is credited to you only when the Tracking Platform attributes it to your Affiliate Link or Affiliate Code. The Tracking Platform’s records are final and binding on whether a Commission is owed and to whom. You waive any claim based on your own tracking, analytics, or screenshots.

    6.2 Attribution Window. A purchase is attributed to your Affiliate Link only if it occurs within the Attribution Window set in the Program Schedule, which we may change under Section 4.2.

    6.3 Multiple referrers. If more than one affiliate referred the same buyer, the sale is credited under the attribution rule in the Program Schedule. Unless the Program Schedule says otherwise, the last qualifying click or code before purchase receives credit.

    6.4 Affiliate Codes. A purchase using your Affiliate Code is credited to you even without a click, unless it is excluded under Section 6.5. If an order uses your Affiliate Code and another affiliate’s link, the Affiliate Code receives credit.

    6.5 Exclusions. No Commission is owed on:

    • purchases by you, your household, or accounts you control, or purchases for resale;

    • sales not tracked because of blocked or cleared cookies, ad blockers, privacy settings, or a buyer switching devices or browsers;

    • clicks or purchases that are fraudulent, automated, incentivized, or generated through prohibited methods in Section 9;

    • purchases through channels outside Pawprint Oxygen sites, including Amazon, distributors, and direct sales to veterinary hospitals; and

    • orders using an Affiliate Code posted somewhere you were not authorized to post it.

    6.6 Changing platforms. We may change Tracking Platforms at any time. You agree that we may move your account, Affiliate Links, Affiliate Codes, and pending Commissions to the new platform, and you will replace links if we ask. We will honor Commissions on Qualifying Sales recorded before the change.

    7. Second-Tier Commissions

    7.1 If the Program Schedule offers a second-tier rate, you earn a Commission on Qualifying Sales made by your Recruited Affiliates, at that rate, for the period stated in the Program Schedule.

    7.2 Second-tier Commissions are paid only on Products sold to end customers. Nothing is paid for recruiting affiliates, for enrollments, or for purchases by Recruited Affiliates themselves. There is one tier only.

    7.3 Second-tier Commissions are subject to the same Hold Period, clawback, attribution, and exclusion rules as your own Commissions. A Recruited Affiliate’s breach does not create liability for you, but Commissions on their invalid sales are not payable.

    8. Payment

    8.1 Schedule. We pay earned Commissions on the payout schedule in the Program Schedule, through the payment method offered by the Tracking Platform or by us.

    8.2 Minimum payout. If your earned balance is below the minimum payout in the Program Schedule, it carries forward to the next payout period.

    8.3 Taxes. You must provide a completed IRS Form W-9 before any payment. You are responsible for all taxes on Commissions, on the value of any Seeded Product you keep, and on any refund you receive under Section 13. We will issue tax forms as required by law.

    8.4 Offsets. We may deduct from any payout amounts you owe us, including clawbacks under Section 5.3, retail value deducted under Section 13.4, and refunds recovered under Section 13.7.

    8.5 Disputes. You must raise any question about a payout in writing within 60 days after the payout date. Otherwise, the payout is final.

    9. Promotional Guidelines

    9.1 Permitted promotion. You may promote Products on the Channels listed in your application and any others we approve in writing, using your Affiliate Link or Affiliate Code and materials we provide or approve.

    9.2 Prohibited activities. You may not:

    • bid on, or use in paid search or social ads, “Pawprint Oxygen,” “PureVent,” “HemoSEAL,” or any confusingly similar term, or direct-link paid ads to our sites, without written approval;

    • register or use domain names, social handles, or app names containing our trademarks;

    • post Affiliate Codes on coupon, deal, cashback, or code-aggregator sites without written approval;

    • use cookie stuffing, forced clicks, pop-ups, bots, click farms, or software that inserts links or overrides other affiliates’ tracking;

    • offer buyers rebates, cash, or other incentives to use your link or code, other than discounts we authorize;

    • buy Products through your own link or code, or ask friends or family to do so for your benefit;

    • impersonate Aeronics or Pawprint Oxygen, or suggest that you are an employee, distributor, or official representative;

    • promote Products on sites or accounts with content that is illegal, hateful, sexually explicit, violent, or involves animal cruelty; or

    • make any statement about competitors’ products that is false or that we have not approved.

    10. Email, Text, and Direct Outreach

    10.1 Any email, text message, call, or direct message you send to promote Products must comply with the CAN-SPAM Act, the Telephone Consumer Protection Act, state laws on commercial messages, and platform rules.

    10.2 You must have each recipient’s consent where the law requires it, honor opt-out requests promptly, and identify yourself as the sender. You may not send text messages or automated calls promoting Products without prior express written consent from the recipient.

    10.3 You may not purchase, rent, or scrape contact lists to promote Products. We may ask you to show proof of consent.

    11. Disclosure and Advertising Law

    11.1 You must comply with the FTC’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255), the FTC’s rule on consumer reviews and testimonials (16 C.F.R. Part 465), state consumer protection laws, and platform disclosure rules.

    11.2 Every post, video, story, review, and message that mentions or links to Products must clearly disclose your affiliate relationship with Pawprint Oxygen and, where applicable, that you received free or reimbursed product. Examples: “#ad,” “Paid partner of @pawprintoxygen,” or “I earn a commission if you buy through my link, and Pawprint Oxygen sent me this product for free.”

    11.3 Disclosures must be in the post itself, not only in a profile or behind a “more” link. In video, they must be spoken and shown on screen. Platform branded-content tools should be used where available.

    11.4 Your statements must reflect your honest opinions and actual experience. You may not post reviews of Products on retailer or review sites, including Amazon, in exchange for compensation or free product unless the review discloses it and the site’s rules permit it.

    12. Content Standards for Our Products

    Our Products relate to pet health. You may not make medical or therapeutic claims about them that we have not approved in writing.

    12.1 No medical claims. You may not state or imply that any Product treats, cures, resolves, fixes, or prevents any disease or condition.

    12.2 Pawprint Oxygen Kits. Kits may be described only as a supportive product used alongside veterinary care, never in place of it. You may not state or imply that a Kit resolves, fixes, or aids any medical condition.

    12.3 PureVent Pet Oxygen Chamber. You may not present the PureVent Pet Oxygen Chamber as providing 24/7, continuous, or life-sustaining care. It is not intended for continuous life support.

    12.4 HemoSEAL. You may describe HemoSEAL only as a physical barrier for bleeding control. You may not make antimicrobial, infection-prevention, or wound-healing claims.

    12.5 Veterinary care. Content showing a pet in distress should encourage owners to contact a veterinarian, and may not suggest that Products replace emergency veterinary treatment.

    12.6 Product names. Use full product names, including “PureVent Pet Oxygen Mask” and “PureVent Pet Oxygen Chamber.”

    12.7 Corrections and takedowns. We may require you to correct inaccurate or non-compliant content, or to remove content that makes false or unapproved claims about Products. You must comply within 48 hours after notice. Content corrected or removed at our request is not a breach of Section 14.

    13. Product for Content Creation

    13.1 Two programs. We may provide Products for content creation in one of two ways: (a) Seeded Product, sent to you at no charge, or (b) a Refundable Purchase, where you buy Products at retail price and we refund the purchase once you meet the posting requirements in a Refund Offer. We decide which program, if any, applies to each affiliate and each shipment.

    13.2 Shipment details. For each shipment of Seeded Product, and before each Refundable Purchase, we will send you the details by email or post them in your affiliate dashboard (a “Seeding Confirmation” or “Refund Offer”). Each will list the Products, the Posting Deadline, the required post format, and either the retail value of the Seeded Product or, for a Refund Offer, the purchase link and refund amount. No signature is required. By accepting delivery of Seeded Product, or by completing a Refundable Purchase, you agree to the terms of that Seeding Confirmation or Refund Offer. If we do not send a Seeding Confirmation, or it leaves out an item, the following apply: the retail value is the price listed on our website on the ship date; the Posting Deadline is 14 days after confirmed delivery; and the required format is the default in the Program Schedule.

    13.3 Qualifying Post. A “Qualifying Post” is content published within 14 days after confirmed delivery of the Products, as shown by carrier tracking, or by another deadline stated in the Seeding Confirmation or Refund Offer (the “Posting Deadline”), that:

    • features the Products;

    • appears on a Channel we approved;

    • includes your Affiliate Link or Affiliate Code and the disclosures required by Section 11;

    • meets the content standards in Section 12; and

    • uses a format listed in the Program Schedule, Seeding Confirmation, or Refund Offer (for example, a feed post, reel, or video; a story alone does not qualify unless we say so).

    13.4 Seeded Product. Seeded Product is provided in exchange for a Qualifying Post. No purchase is required, but publishing a Qualifying Post by the Posting Deadline is a binding obligation under this Agreement. If you do not publish one, and no exception in Section 13.9 applies, we may do any of the following:

    • deduct the retail value of the Seeded Product, as stated in the Seeding Confirmation or set under Section 13.2, from any Commissions owed to you now or later;

    • decline to send you further Seeded Product or Refund Offers; and

    • remove you from the program under Section 16.2.

    13.5 Refundable Purchase. If we designate you for a Refundable Purchase, you buy the Products at retail price through our standard checkout, using a link or code we provide. The purchase earns no Commission (Section 6.5). If you publish a Qualifying Post that meets the Refund Offer by the Posting Deadline, we will refund the full amount you paid, including shipping and taxes, to your original payment method within 10 business days after we verify the post. If you do not, no refund is owed and you keep the Products. Our standard return policy does not apply to Refundable Purchases.

    13.6 Refunds depend on posting, not opinion. A refund depends only on whether you publish a Qualifying Post that meets the objective requirements of the Refund Offer. It does not depend on whether your content is positive. Your content must reflect your honest opinion, and you must disclose that you were reimbursed for the product (Section 11).

    13.7 Removal after a refund. If you remove a Qualifying Post tied to a refunded purchase before the end of the period in Section 14.1, other than as allowed by Section 14.3, we may deduct the refunded amount from future Commissions.

    13.8 Notices. We will send a reminder at least 3 days before each Posting Deadline. For a Refundable Purchase, we will confirm in writing whether a refund was approved and, if not, why.

    13.9 Exceptions. If you report damaged or defective Products within 5 days of delivery, we will replace them and restart the Posting Deadline. We may also extend a Posting Deadline in writing; extensions apply only to the shipment named.

    13.10 No resale or reshipment. Products received under this Section are for content creation and personal use only. You may not sell them or list them for sale.

    13.11 Donated Product. Donated Product is treated as Seeded Product under Section 13.4, except that we will not deduct its retail value from Commissions.

    14. Posted Content and Usage Rights

    14.1 Content stays up. Each Qualifying Post must remain publicly live on your Channel, and may not be deleted, archived, hidden, or made private, for at least 12 months after publication.

    14.2 Remedy for removal. If you remove a Qualifying Post before the end of the period in Section 14.1, we may stop sending you Products, end this Agreement, and, for a Refundable Purchase, recover the refund under Section 13.7.

    14.3 Exceptions. Section 14.1 does not apply to content that (a) we ask you to correct or remove, (b) a platform removes, (c) is lost because a platform suspends or closes your account through no breach by you, or (d) must be changed or removed for legal or compliance reasons. You must tell us within 5 business days if (b), (c), or (d) occurs.

    14.4 License to Aeronics. You grant Aeronics, Inc. dba Pawprint Oxygen a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to reproduce, repost, edit for length and format, display, and distribute content you create under this Agreement, in any media, including our websites, social accounts, email, and paid advertising. This license includes the right to use your name, handle, image, voice, and likeness as they appear in that content. The license survives the end of this Agreement.

    14.5 Your ownership and warranties. You keep ownership of your content. You confirm that you own or have cleared all rights in it, including music, images, and the consent of any person who appears in it, and that it does not infringe anyone’s rights.

    15. Intellectual Property

    15.1 Our marks. “Pawprint Oxygen,” “PureVent,” “HemoSEAL,” and our logos, product names, images, and other brand assets (“Brand Assets”) belong to Aeronics. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Brand Assets we provide, only to promote Products under this Agreement and only in line with our brand guidelines.

    15.2 Limits. You may not alter the Brand Assets, combine them with other marks, use them in a way that implies endorsement of you or another product, or file any trademark, domain, or handle that includes them.

    15.3 Ending use. When this Agreement ends, or on our request, you must stop using the Brand Assets in new content. Past Qualifying Posts may stay up.

    15.4 Site content. For affiliates, the license in this Section replaces the content usage notice process in our Privacy Policy.

    16. Term, Removal, and Termination

    16.1 Term. This Agreement starts when we accept your application and continues until ended under this Section.

    16.2 Removal at our discretion. We may remove you from the program and end this Agreement at any time, for any reason or no reason, by notice. You may end this Agreement at any time by notice.

    16.3 Termination for breach or misconduct. We may end this Agreement immediately if you breach it, engage in fraud, or engage in conduct that we determine in good faith is unethical, illegal, or harmful to animals or to the Pawprint Oxygen brand.

    16.4 Commissions after termination. If we end this Agreement under Section 16.3, you forfeit all unpaid Commissions, pending or earned. If the Agreement ends for any other reason, we will pay Commissions on Qualifying Sales placed before the end date once their Hold Period passes, subject to the minimum payout.

    16.5 Effect. When this Agreement ends, your Affiliate Links and Affiliate Codes stop working, and you must stop new promotion of Products. Section 14, and any pending refund or recovery rights under Section 13, continue for Products already delivered.

    16.6 Survival. Sections 5.3, 6.1, 8.3 through 8.5, 13, 14, 15.3, and 16 through 25 survive the end of this Agreement.

    17. Confidentiality

    17.1 Non-public information we share with you, including commission rates negotiated for you, unreleased products, sales data, and campaign plans (“Confidential Information”), may be used only to take part in the program and may not be disclosed to anyone else.

    17.2 This duty does not cover information that is public through no fault of yours, that you already had lawfully, or that you must disclose by law after giving us prompt notice where allowed. It continues for 2 years after this Agreement ends.

    18. Data and Privacy

    18.1 We handle personal information you provide, including tax information and purchase and refund records for any Refundable Purchase, under our Privacy Policy.

    18.2 You may not collect personal information about our customers through the program, and you must comply with privacy laws for any data you collect from your own audience.

    19. Disclaimers

    The program, Tracking Platform, and dashboard are provided “as is.” We do not promise that tracking will be uninterrupted or error-free, or that you will earn any amount. Products you receive under this Agreement are subject only to the warranties we give to ordinary retail customers.

    20. Limitation of Liability

    20.1 Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from this Agreement.

    20.2 Our total liability under this Agreement will not exceed the Commissions paid to you in the 12 months before the claim arose.

    20.3 These limits do not apply to your indemnification obligations, your breach of Sections 10, 11, 12, or 15, or either party’s fraud or willful misconduct.

    21. Indemnification

    You will defend, indemnify, and hold harmless Aeronics, its officers, directors, employees, and agents from claims, losses, fines, and costs (including reasonable attorneys’ fees) arising from (a) your content or Channels, (b) your breach of this Agreement, (c) your violation of any law, including advertising, disclosure, anti-spam, and privacy laws, or (d) any claim that your content infringes someone else’s rights.

    22. Independent Contractor

    You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, or agency relationship. You may not bind Aeronics or speak for it.

    23. Changes to This Agreement

    We may change this Agreement by posting the updated version and notifying you by email or in your dashboard at least 15 days before it takes effect. Changes to the Program Schedule follow Section 4.2. Continuing in the program after the effective date means you accept the change. If you do not accept it, you may end this Agreement under Section 16.2.

    24. Governing Law and Disputes

    24.1 This Agreement is governed by the laws of the Commonwealth of Pennsylvania and applicable US federal law, without regard to conflict-of-law rules.

    24.2 Any dispute will be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and both parties consent to their jurisdiction.

    25. General

    25.1 Notices. We may send notices to the email address in your account or through your dashboard. You must send notices to [email protected], with a copy by mail to Aeronics, Inc., 921 Saw Mill Run Blvd, Pittsburgh, PA 15220 for any notice of breach.

    25.2 Assignment. You may not assign this Agreement without our written consent. We may assign it to an affiliate or a successor in a merger, acquisition, or sale of assets.

    25.3 Entire agreement. This Agreement, with the documents in Section 1.3, is the entire agreement on its subject and replaces prior discussions.

    25.4 Severability and waiver. If any provision is unenforceable, it will be enforced to the maximum extent allowed and the rest remains in effect. A failure to enforce a provision is not a waiver.

    25.5 Electronic records. You agree that this Agreement, notices, Seeding Confirmations, and Refund Offers may be made and kept electronically.
